The Company wishes to announce that as at 28 February 2013 the total amount of Recurrent Related Party Transactions ("RRPTs") entered into by Turboservices Sdn Bhd, a 74% owned subsidiary of Deleum Services Sdn Bhd, who in turn is a 100% owned subsidiary of the Company, with Solar Turbines International Company has exceeded 22.05% of the estimated value of transactions as disclosed in the Company's Circular to Shareholders dated 2 May 2012. The estimated value of RRPTs as disclosed in the circular was RM200,000,000 ("Estimated Value"). The actual value of the RRPTs transacted, from 24 May 2012, being the date on which the existing mandate was obtained up to 28 February 2013 was RM244,093,406 ("Actual Value"). The difference amounted to RM44,093,406 or 22.05% between the Actual Value compared to the Estimated Value. The difference was due to increased customer purchase orders. The Board of Directors of PHB wishes to announce that the Company had on 11 March 2013 executed a Supplemental Trust Deed with TMF Trustees Malaysia Berhad (formerly known as Equity Trust (Malaysia) Berhad) ("the Trustee") to delete Clauses 18.4.1 and 18.4.2 in its entirety from the Trust Deed dated 06 December 2011 ("Trust Deed") due to manifest error. The aforesaid deletions to the Trust Deed have been made with the consent of the Trustee pursuant to Clause 27.1 of the Trust Deed. A copy of the Supplemental Trust Deed dated 11 March 2013 is available for inspection at the registered office of PHB at Level 31, Maju Tower, 1001 Jalan Sultan Ismail, 50250 Kuala Lumpur during normal business hours from Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this announcement.
