Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements (“LR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Board of Directors of Dijaya wishes to announce that Aliran Peluang Sdn Bhd (“APSB”), an 80% owned subsidiary of the Company, had on 4 February 2013 entered into a Shares Sale Agreement with Mr Lim Yan Bu and Madam Yan Yee Chew to acquire 100 ordinary shares of RM1.00 each fully paid representing 100% equity interest in KASH Concept Sdn Bhd (“KASH”) for a total cash consideration of RM3,105,649.20 only (“Purchase Consideration”) (“Proposed Acquisition”). Upon completion of the above Proposed Acquisition, KASH shall become a wholly-owned subsidiary of APSB, which in turn is an 80% owned subsidiary of the Company. KASH was incorporated in Malaysia on 14 May 2010 under the Companies Act, 1965 as a private limited company with an authorised capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each. Its present issued and paid-up capital is RM100.00 comprising 100 ordinary shares of RM1.00 each held by Mr Lim Yan Bu (50% shareholding) and Madam Yan Yee Chew (50% shareholding). KASH will be the beneficial owner of 2 parcels of leasehold lands with total land size of approximately 1.09 hectares in Pulai, Johor. The Purchase Consideration for the Proposed Acquisition was arrived at on a ‘willing buyer-willing seller’ basis after taking into consideration, amongst others, the leasehold lands being purchased by KASH. The Purchase Consideration for the Proposed Acquisition will be funded by internally generated funds and/or bank borrowings. The Proposed Acquisition is being undertaken to facilitate the future property development of APSB. The Proposed Acquisition is not expected to have any material effect on the net assets, gearing and earnings of the DCB Group for the current financial year ending 31 December 2013. None of the Directors and/or major shareholders of Dijaya or its subsidiaries and/or persons connected with them, has any interest, direct or indirect, in the Proposed Acquisition. The Board of Directors of Dijaya is of the opinion that the Proposed Acquisition is in the best interest of Dijaya Group. This announcement is dated 5 February 2013.
