1. Introduction Further to our announcement dated 27 July 2012 on the notice of sale of shares in VTFI, we wish to announce that PPB and I&P Multi Resources Sdn Berhad (“IPMR”) have on 5 February 2013 entered into a termination agreement to terminate the joint venture agreement dated 10 July 1996 (“JVA”) in respect of VTFI (the “Termination”). 2. RATIONALE Further to PPB’s decision on 27 July 2012 not to purchase IPMR’s 9,000,000 ordinary shares of RM1 each in VTFI, IPMR had subsequently disposed of its entire 60% equity interest in VTFI, and has ceased to be a shareholder of VTFI. Arising therefrom, PPB and IPMR have agreed to terminate the JVA, and to mutually release and discharge each other from all obligations and liabilities under the JVA and from all further performance of all terms of the JVA. Upon the Termination, the JVA shall have no further force or effect and neither party shall have any claims against each other in respect of the JVA. 3. FINANCIAL EFFECTS 3.1 Share Capital The Termination would not have any effect on the share capital and shareholding structure of PPB. 3.2 Net Assets The Termination would not have any effect on the net assets of the PPB Group based on its latest audited consolidated statement of financial position as at 31 December 2011. 3.3 Earnings The Termination is not expected to have any effect on the earnings of the PPB Group for the financial year ending 31 December 2013. 4. INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND PERSONS CONNECTED WITH THEM None of the Directors or major shareholders of PPB or persons connected with them has any interest, direct or indirect, in the Termination. This announcement is dated 5 February 2013.
