Contents: The Board of Directors of Envair wishes to announce that its wholly-owned subsidiary, Quest Liquid Separation Sdn Bhd ( "QLS"), has been served with a winding up petition by Telextral Sdn Bhd (''TSB").
The details are as follows:
1. Date of Presentation of Winding-Up Petition and Date of Winding-Up Petition was Served
The winding-up petition was presented to the High Court of Malaya at Kuala Lumpur Winding Petition No. 28 NCC - 298 -10 by TSB against QLS on 22nd April 2010 and a copy was served at QLS's registered office on 9th June 2010.
2. Particulars of the Claim under the Winding-Up Petition
The winding-up petition was based on a claim made by TSB against QLS under a written notice pursuant to Section 218(2) of the Companies Act, 1965, amounting to RM230,160.
3. Details of the Default or Circumtances Leading to the Filing of the Winding-Up Petition against QLS
The petition was filed by TSB due an alleged to a default or failure to settle the sum by QLS for the supply of goods.
4. Confirmation of Major Subsidiary
QLS is not a major subsidiary of Envair.
5. Total Cost of Investment in QLS
Based on the audited financial statements of Envair as at 31.12.2009, the cost of investment in QLS is RM103,000.
6. Financial and Operational Impact Arising from the Winding-Up Proceedings.
As the alleged debt has been incorporated in the accounts, the financial impact from the winding up proceedings is the loss of investment in the subsidiary. There is no impact on the operation of the Group.
7. Expected Losses
The expected loss arising from the winding-up proceedings is RM176,734 based on the audited financial statements as at 31.12.2009.
8. The Proposed Steps to be taken by QLS
QLS is currently seeking legal advice either to oppose the winding up petition or resolve the matter amicably.
