As announced on 13 November 2009, MPB had on 12 November 2009 entered into a conditional share sale agreement ("SSA") with Asia Poster Sdn Bhd ("APSB") and another conditional SSA with Yew Wai Sung ("YWS") and Koh Swee Han ("KSH") to acquire in total, 1,000,000 ordinary shares of RM1.00 each in Kurnia Outdoor Sdn Bhd ("Kurnia") ("Kurnia Shares") representing 100% of the issued and paid-up share capital of Kurnia and 57,500 ordinary shares of RM1.00 each in Jupiter Outdoor Network Sdn Bhd ("Jupiter") ("Jupiter Shares") representing 100% of the issued and paid-up share capital of Jupiter.
Pursuant to the SSA with YWS and KSH, the acquisition of the shares held by YWS & KSH are to be completed in four (4) tranches and as announced on 13 November 2010, the first (1st) Tranche was completed on 12 November 2009. We are pleased to announce that the acquisition of the second (2nd) Tranche of 90,000 Kurnia Shares and 5,175 Jupiter Shares has been completed today and accordingly, MPB currently holds 89% of the issued and paid-up share capital of Kurnia and Jupiter, respectively, whilst KSH holds 8.8% and YWS holds 2.2% of the remaining issued and paid-up share capital of each of Kurnia and Jupiter. The remaining 11% will be acquired in two (2) further tranches from YWS and KSH over the next two (2) years, the final completion of which is to take place within thirty (30) business days after the audited accounts of the Group Companies for the FYE 31 December 2011 have been issued.
