We refer to the announcements dated 20 March 2015 and 28 April 2015 in relation to the DRS (“Announcements”). Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcements.

On behalf of the Board, CIMB wishes to announce that Axiata had on 11 May 2015 received the approval from Bursa Malaysia Securities Berhad (“Bursa Securities”) for the listing of and quotation for the new Shares to be issued pursuant to the DRS in respect of the Proposed Final Dividend (“Proposal”), on the Main Market of Bursa Securities. The approval granted by Bursa Securities is subject to the following conditions:

(i)         Axiata and CIMB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposal;

(ii)         Axiata and CIMB to inform Bursa Securities upon the completion of the Proposal;

(iii)        Axiata to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposal is completed; and

(iv)        Axiata to furnish Bursa Securities a certified true copy of the resolution passed by the shareholders at Axiata’s general meeting approving the allotment and issuance of the new Shares pursuant to the Proposal.
