AMPROP refers to the article published in THE EDGE Weekly titled “AmProp adds Tokyo to global portfolio” dated 13 April 2015 in particular the following statements: 1. “Amcorp Properties Bhd (AmProp) is expected to announce soon its first property investment and development in Tokyo” 2. “According to group managing director Ben Lee, AmProp and its joint-venture (JV) partners in Japan are finalising the deal to acquire a serviced apartment block in the stylish and affluent neighbourhood of Shibuya in central Tokyo, which will be refurbished into a prime residential complex. The apartment block is called Forest Nanpeidai” AMPROP wishes to clarify that the property, Forest Nanpeidai was acquired in January 2015 by a special purpose vehicle set-up pursuant to the Co-Investment Agreement entered by AMPROP through its wholly-owned subsidiary, Amcorp Far East Limited with Grosvenor Asia Pacific Limited, NRJ Investment Limited and True Lead Investment Limited. The execution of the Co-Investment Agreement was announced by AMPROP on 17 April 2014. This announcement is dated 13 April 2015. |

On behalf of the Board of Directors of RHB Capital, RHB Investment Bank Berhad is pleased to announce that RHB Capital proposes to undertake the following: (i) Proposed renounceable rights issue of new ordinary shares of RM1.00 each in RHB Capital (“RHB Capital Shares” or “Shares”) to raise gross proceeds of up to RM2.5 billion (“Proposed Rights Issue”); (ii) Proposed internal reorganisation of the RHB Capital group of companies which entails the transfer by RHB Capital of its entire equity interests in, and/or the entire assets and liabilities of its subsidiaries to its wholly-owned subsidiary, RHB Bank Berhad (“RHB Bank”), for a total disposal consideration to the determined later (“Proposed Internal Reorganisation”); (iii) Proposed distribution of the entire shareholdings of RHB Capital in RHB Bank, after the Proposed Rights Issue and Proposed Internal Reorganisation, by way of distribution-in-specie via a reduction of the share premium account of the Company and the par value of the existing RHB Capital Shares in accordance with Sections 60(2) and 64 of the Companies Act, 1965 as well as via the Company’s retained earnings (“Proposed Distribution and Capital Repayment”); and (iv) Proposed transfer of RHB Capital’s listing status on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) to RHB Bank upon completion of (i) to (iii) above (“Proposed Transfer of Listing Status”).
