Sime Darby Berhad (Sime Darby) wishes to announce that its indirect wholly-owned subsidiary, Sime Darby Engineering Sdn Bhd (SDE) has, on 17 March 2015 received a Notice of Arbitration dated 16 March 2015 from Malaysia Marine and Heavy Engineering Sdn Bhd (MMHE) to resolve the disputes between MMHE and SDE in relation to the Sale and Purchase Agreement dated 25 August 2011 (SPA) and Supplemental Sale and Purchase Agreement dated 30 March 2012 (SSPA), both entered by MMHE and SDE for the disposal of SDE’s oil and gas business to MMHE. Disputes and differences relating to the SPA and SSPA have since arisen between MMHE and SDE. Pursuant to Clause 23.1 of the SPA, MMHE invoked the reference to arbitration in accordance with the rules for arbitration of the Kuala Lumpur Regional Centre for Arbitration before a panel of three (3) arbitrators. The arbitration proceedings are not expected to have a material impact on the earnings and the net assets of the Sime Darby Group for the financial year ending 30 June 2015. None of the directors or substantial shareholders of Sime Darby or persons connected to them has any interest, direct or indirect, in the aforesaid arbitration proceedings.
