We refer to the announcements made on 28 November 2014, 1 December 2014, 5 December 2014 and 23 February 2015 on the abovementioned subject. The Board of Directors of VCB wishes to announce that Bursa Malaysia Securities Berhad has via its letter dated 5 March 2015, which was received by the Company on 6 March 2015, granted VCB a further extension of time of 6 months until 5 June 2015 to comply with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Main Market Listing Requirement. The percentage of public shareholding of the Company as at 18 February 2015 was 10.64%. The Company is considering various options to address the shortfall in the public spread which may include, inter-alia, the disposal of VCB shares by the major shareholders and/or to undertake a proposed private placement of up to 11,064,308 new ordinary shares of RM0.50 each in VCB (“Placement Shares”), representing up to ten percent (10%) of the issued and paid-up share capital of VCB at an issue price to be determined and announced later. An announcement on the Proposed Private Placement was made on 24 February 2015. The Placement Shares will be placed to third party investors to be identified at a later date. Barring any unforeseen circumstances, the Proposed Private Placement was expected to be completed by the second quarter of 2015.
