The Board of Directors of APFT wishes to announce that APFT Services Sdn Bhd (“APFT Services”), a wholly-owned subsidiary of the Company had on 23 March 2015 entered into a Sale and Purchase (“Agreement”) with Solaire Sdn Bhd (Company No. 499893-V) (“SSB”) for the disposal of one (1) unit of Used Robinson R66 Turbine Helicopter Year 2013, Serial No. 0374, Registration No. 9M-NKX for a total consideration of USD870,000.00 (“the Disposal”). APFT Services and SSB has agreed that the total consideration of USD870,000.00 and the payment shall be transacted in the following manner:- (a) SSB to transfer the ownership of its aircraft, Robinson R44 Helicopter Year 2008, Serial No. 1800, (Total time since new : 541.8 hours) to APFT Services with the following for an agreed amount of USD335,000.00:- (i) To be registered as 9M – to be advised with Malaysian DCA (b) Balance payment of USD535,000.00 to APFT Services by SSB upon delivery of the R66 Robinson Helicopter to SSB. The Acquisition will not have any material effect on the share capital, substantial shareholders' shareholdings of APFT and is not expected to have any material effect on the net assets, earnings and gearing of the APFT Group for the financial ending 31 March 2016. None of the Directors and/or substantial shareholders of the Company and/or persons connected with them has any interest, direct or indirect, in the Disposal. The Board of Directors of APFT is of the opinion that the Disposal is in the best interest to the Group. This announcement is dated 23 March 2015. | |
