We refer to the announcement made on 3 November 2014 pertaining to the Related Party Transactions in relation to Contract Awarded on the Proposed Provision of Accommodation on Base-Camp Concept Complete with Necessary Facilities for Petronas Chemicals Fertiliser Sabah Sdn Bhd (“Announcement”), the Board of GBGAQRS wishes to announce that GBGAQRS has on 5 February 2015 acquired Forty-Five Thousand (45,000) ordinary shares of RM1.00 each, representing 90% equity interest in the share capital of Trusvest Sdn Bhd (Company No. 1103220-P) (“Trusvest”) for a total consideration of RM45,000.00 (“Acquisition”) from REMT Utama Sdn Bhd (Company No. 409864-W) (“REMT”) and Seri Wilayah Engineering Sdn Bhd (Company No. 887826-M) (“SWE”). Trusvest was incorporated on 31 July 2014. It is a special purpose vehicle formed to undertake and accept whatsoever rights, title and interests under the Letter of Award (as defined in the Announcement). Its authorised and paid-up share capital are RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each and RM50,000.00 divided into 50,000 ordinary shares of RM1.00 each respectively.
