In accordance with Condition B3.1 – Adjustment of Entitlement and Exercise Price to the Second Schedule of the Deed Poll dated 11 July 2014 as well as Section 2.1 of the First Supplemental Deed Poll dated 10 October 2014, the Exercise Price and Exercise Ratio of FABER-CA will be adjusted accordance with the following formulas:

1. Adjustment Factor = (RM2.65 – RM0.1800) / RM2.65
= 0.9320755

P: RM2.65, Closing price of FABER Share on Bursa Malaysia Securities Berhad immediately preceding the Ex-Date (i.e. the “Last Cum Date”)

X: RM0.1800, the Special Interim Dividend per FABER Share held

2. Adjusted Exercise Price = K x Adjustment Factor
= RM3.30 x 0.9320755
= RM3.0758

K: RM3.30, the existing Exercise Price immediately prior to the Special Interim Dividend


3. Adjusted Entitlement = E x (1/Adjustment Factor)
= (1/4) x (1/0.9320755)
= 0.2682186 (equivalent to Exercise Ratio of 3.7283 FABER-CA per FABER Share)
Where

E: 1/4, the existing Entitlement immediately prior to the Special Interim Dividend (equivalent to Exercise Ratio of 4.0000 FABER-CA per FABER Share)


Based on the formula above, the exercise price of FABER-CA will be adjusted from RM3.3000 to RM3.0758 and exercise ratio will be adjusted from 4 FABER-CA: 1 FABER Share to 3.7283 FABER-CA: 1 FABER Share.
