The aforesaid distribution of AMH Shares by ANM (a 100%-owned subsidiary of AHSB) was undertaken pursuant to the Amended and Restated Shareholders’ Agreement dated 16 July 2012 between AHSB and its shareholders (“AHSB Shareholders”) as disclosed in Section 15.1(iv) of the Prospectus dated 21 September 2012 issued by AMH, wherein AHSB and the AHSB Shareholders had agreed to procure AHSB to distribute to the AHSB Shareholders all the AMH Shares held by ANM which would result in the AHSB Shareholders becoming direct shareholders of AMH. ANM ceased as a substantial shareholder of AMH as a result of the aforesaid distribution.

Circumstances by reason of which change has occurred	Increase in the number of AMH Shares over which the deemed interest is held following the completion of distribution of AMH Shares, firstly from ANM to Astro Holdings Sdn Bhd (“AHSB”), and subsequently from AHSB to the AHSB shareholders via dividend-in-specie and the redemption of redeemable preference shares of AHSB (“Distribution”). TAK is deemed to have an interest in 2,133,139,626 AMH Shares, representing approximately 41.01% equity interest in AMH as at 31 December 2014 by virtue of the following:- (a) the deemed interest of PanOcean Management Limited (“PanOcean”) in 1,249,075,472 AMH Shares, representing approximately 24.01% equity interest in AMH as at 31 December 2014. PanOcean is the trustee of a discretionary trust, the beneficiaries of which are members of my family and foundations including those for charitable purposes. Although PanOcean is deemed to have an interest in such AMH Shares, PanOcean does not have any economic or beneficial interest over the AMH Shares, as such interest is held subject to the terms of the discretionary trust referred to above. PanOcean holds 100% equity interest in Excorp Holdings N.V. (“Excorp”) which in turn holds 100% equity interest in Pacific States Investment Limited (“PSIL”). PSIL holds 99.999% equity interest in Usaha Tegas Sdn Bhd (“UTSB”). UTSB holds 100% equity interest in UTES, while UTES in turn holds 100% equity interest in AAME. UTES and AAME collectively hold directly 1,249,075,472 AMH Shares representing approximately 24.01% equity interest in AMH as at 31 December 2014 following the Distribution. Although TAK is deemed to have an interest in the 1,249,075,472 AMH Shares collectively held by UTES and AAME, he do not have any economic or beneficial interest over such AMH Shares, as such interest is held subject to the terms of the discretionary trust referred to above; and (b) the interests of EABNS, PBS, HVL, SIL, UCSB, MUSB, MSSB, PGSB and UMSB which collectively hold directly 884,064,154 AMH Shares representing approximately 17% equity interest in AMH as at 31 December 2014. TAK is deemed to have an interest in the 884,064,154 AMH Shares collectively held by EABNS, PBS, HVL, SIL, UCSB, MUSB, MSSB, PGSB and UMSB by virtue of my 100% equity interest in their respective ultimate holding companies viz. All Asia Media Equities Limited - 1,013,297,290 AMH Shares 2. Usaha Tegas Entertainment Systems Sdn Bhd - 235,778,182 AMH Shares The aforesaid distribution of AMH Shares by ANM (a 100%-owned subsidiary of AHSB) was undertaken pursuant to the Amended and Restated Shareholders’ Agreement dated 16 July 2012 between AHSB and its shareholders (“AHSB Shareholders”) as disclosed in Section 15.1(iv) of the Prospectus dated 21 September 2012 issued by AMH, wherein AHSB and the AHSB Shareholders had agreed to procure AHSB to distribute to the AHSB Shareholders all the AMH Shares held by ANM which would result in the AHSB Shareholders becoming direct shareholders of AMH. There is no change to the effective shareholding of UTSB in AMH Shares arising from the aforesaid distribution.
