The Board of Directors of Scicom wishes to announce that the Company had on 11 December 2014 acquired the remaining 30% comprising 1,575,000 ordinary shares of Sri Lanka Rupee (“SLR”) 10.00 each in the share capital of SLPL from Abans PLC (Formerly known as Abans Private Limited), for a total cash consideration of SLR15,750,000 (approximately RM395,325.00) (“the Acquisition”). Subsequent to the Acquisition, SLPL became a wholly-owned subsidiary of the Company. The Acquisition in SLPL would not have any material effect on the share capital, shareholding structure, gearing, net assets per share and earnings per share of SCICOM Group for the financial year ending 30 June 2015. None of the Directors and/or major shareholders of the Company or any persons connected to them have any interest, directly or indirectly, in SLPL. This announcement is dated 12 December 2014. | |
