We refer to the previous announcements dated 10 July 2014, 9 October 2014, 21 October 2014, 31 October 2014 and 5 December 2014 in relation to the Proposed Merger (“Announcements”). Unless otherwise stated, the definitions used here shall have the same meanings as set out in the Announcements. On behalf of RHB Capital, RHB Investment Bank Berhad wishes to announce that Bursa Securities had, vide its letter dated 10 December 2014, informed that after due deliberation and having considered all the facts and circumstances of the matter, including oral representation from RHB Capital and EPF, the Appeals Committee decided that the matters raised and the grounds of Appeal put forth by RHB Capital and EPF did not justify a departure from the decision of the Listing Committee. In particular, there are no adequate justifications that the potential conflict of interests involving EPF has been eliminated or sufficiently mitigated. Accordingly, the Appeals Committee decided to dismiss the Appeal and uphold the decision of the Listing Committee made on 21 October 2014. This announcement is dated 10 December 2014.

On 20 March 2014, the shareholders of MAHB had authorised MAHB to allot and issue new ordinary shares of RM1.00 each in MAHB pursuant to the DRP.
RHB Investment Bank Berhad had, on even date, announced that the Board has approved that the issue price for the new shares to be issued pursuant to the implementation of the DRP in respect of the Dividend, which was fixed today in a meeting of the Board, is RM6.13 per share.
