refer to the announcement dated 19 November 2014 in relation to EW Berhad’s notice
of Extraordinary General Meeting (“EGM”)
dated 20 November 2014 in connection with the Proposals (“Notice of EGM”). On
behalf of the Board of Directors of EW Berhad, we are pleased to announce that
the non-interested shareholders of EW Berhad have, at the EGM held today, 12
December 2014, approved and passed all the Ordinary Resolutions and Special
Resolution pertaining to the Proposals set out in the Notice of EGM dated 20
November 2014. All resolutions were duly carried by a show of hands, saved for Ordinary Resolutions 1, 2, 3, 5 and 9, which were carried by way of poll. Please refer to Table A (attached herewith) for the results of the polling in respect of Ordinary Resolutions 1, 2, 3, 5 and 9.

Unless otherwise stated, abbreviations and definitions used throughout this announcement shall be the same as previously announced on 28 October 2014. Reference is made to the announcements dated 28 October 2014 and 21 November 2014 in relation to the above. On behalf of the Board of Directors of Leweko, M&A Securities is pleased to announce that Bursa Securities had, vide its letter dated 12 December 2014, resolved to approve the following: (a) Admission to the Official List and the listing of and quotation for up to 201,457,002 Warrants to be issued pursuant to the Proposed Rights Issue with Warrants; (b) Listing of up to 161,165,602 Rights Shares to be issued pursuant to the Proposed Rights Issue with Warrants; and (c) Listing of up to 201,457,002 new Leweko Shares to be issued pursuant to the exercise of the Warrants. The approval by Bursa Securities for the Proposed Rights Issue with Warrants is subject to the following conditions: (a) Leweko and M&A Securities must fully comply with the relevant provisions under the Main Market Listing Requirements (“MMLR”) pertaining to the implementation of the Proposed Rights Issue with Warrants; (b) Leweko and M&A Securities are to inform Bursa Securities upon the completion of the Proposed Rights Issue with Warrants; (c) Leweko to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue with Warrants is completed; and (d) Payment of additional listing fees pertaining to the exercise of Warrants. In this respect, Leweko is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
