The terms used herein shall, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement dated 26 September 2014 in relation to the Proposals. We refer to the announcements dated 26 September 2014 and 8 October 2014 in relation to the Proposals. On behalf of Engtex, AFFIN Hwang Investment Bank Berhad (formerly known as HwangDBS Investment Bank Berhad) (“AFFIN Hwang IB”) wishes to announce that Bursa Securities has vide its letter dated 23 October 2014, approved the following: (i) listing of up to 148,500,000 new Engtex Shares to be issued pursuant to the Proposed Bonus Issue; (ii) listing of up to 49,492,800 additional Warrants 2007/2017 arising from the adjustments in accordance to the Deed Poll dated 7 September 2007 as a result of the Proposed Bonus Issue ("Additional Warrants 2007/2017"); and (iii) listing of up to 49,492,800 new Engtex Shares to be issued pursuant to the exercise of the Additional Warrants 2007/2017. The approval granted by Bursa Securities for the listing and quotation of the new ordinary shares to be issued pursuant to the Proposed Bonus Issue is subject to the following conditions: (i) Engtex and AFFIN Hwang IB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Bonus Issue; (ii) Engtex and AFFIN Hwang IB to inform Bursa Securities upon the completion of the Proposed Bonus Issue; (iii) Engtex to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue is completed; and (iv) Engtex and AFFIN Hwang IB are required to make the relevant announcements pursuant to Paragraph 6.35(2)(a)&(b) and 6.35(4) of the Listing Requirements.
