We refer to the Company’s announcements on 23 September 2014 and 2 October 2014 in relation to the receipt of a notice and offer of right of first refusal (“ROFR”) pursuant to TAV Havalimanları Holding A.Ş.’s proposal to acquire from Limak and Limak Yatirim (collectively “Limak Group”) their collective 40% equity stake in ISG and LGM for a cash consideration of EUR285 million (the “Purchase Consideration”) which is equivalent to RM1,179.8 million (based on Bank Negara Malaysia’s middle rate of EUR1.00:RM4.1396 as at 12.00 noon on 15 October 2014. For clarification purposes, the Purchase Consideration is subject to downward adjustments in accordance with the terms in the relevant share purchase agreement. On behalf of the Board of Directors of the Company, CIMB Investment Bank Berhad and Maybank Investment Bank Berhad wish to announce that MAHB has, (via its wholly owned subsidiary, Malaysia Airports Cities Sdn Bhd (“MACities”)), exercised the ROFR on 23 October 2014, pursuant to the shareholders’ agreement in relation to ISG dated 19 March 2008 and the shareholders’ agreement in relation to LGM dated 4 January 2010.
