wholly-owned subsidiary of Goldis.
The acquisition does not have any effect on the issued and paid-up
capital of Goldis and substantial shareholders’ shareholdings. lt also does not
have any material effect on the net assets, earnings and gearing of Goldis for
the financial year ending 31 December 2014.
None of the Directors, major shareholders of Goldis and/or persons
connected to them, have any interest, direct or indirect, in the above
acquisition.
The Board is of the opinion that the acquisition is made in the best
interests of the Goldis Group.

On behalf of the Board of Directors of KSB, KAF Investment Bank Berhad (“KAF”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 24 October 2014, approved the following:- a) The listing and quotation of up to 6,900,000 new ordinary shares of RM1.00 each in KSB to be issued pursuant to the Proposed Private Placement; and b) The listing of such number of ordinary shares of RM1.00 each in KSB, representing up to 15% of the issued and paid-up ordinary share capital of KSB (excluding treasury shares, if any), to be issued pursuant to the exercise of options under the Proposed New ESOS. The approval by Bursa Securities is subject to the following conditions:- Proposed Private Placement (i) KSB and KAF must fully comply with the relevant provisions under the Main Market Listing Requirements (“Main LR”) pertaining to the implementation of the Proposed Private Placement; (ii) KSB and KAF to inform Bursa Securities upon the completion of the Proposed Private Placement; (iii) KSB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and (iv) KSB to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Section 132D of the Companies Act, 1965, in the event the existing authority has expired prior to the implementation of the Proposed Private Placement.
