This announcement is dated 8 September 2014. We refer to the circular to shareholders dated 27 March 2013 (“Circular”) and the subsequent announcements dated 18 April 2013, 23 April 2013, 31 May 2013, 19 August 2013, 13 December 2013, 21 February 2014, 11 March 2014 and 19 May 2014 in relation to the Proposed Merger. Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Circular. On behalf of the Board of Directors of Scope, AmInvestment Bank Berhad wishes to announce that the extension of time granted by Bursa Securities up to 6 September 2014 to complete the Proposed Merger has lapsed. As set out in the announcement dated 19 May 2014, the conditions precedent of the Business Merger Agreement dated 19 November 2012 (“BMA”) have not been fulfilled on 18 May 2014 (i.e. being the extended cut-off date) and accordingly the timeframe to fulfil such conditions have lapsed. Pursuant thereto and in accordance to the terms of the BMA, Scope had on 8 September 2014 notified Matang of the termination of the BMA with no further claims against each other. | |
