Reference is made to the Company’s announcement dated 2 July 2014 in relation to the Proposed RTO Exercise (“Announcement”).
All abbreviations and definitions used herein shall have the same meanings as the words and expressions defined in the Announcement, except where the context otherwise requires or where otherwise defined herein.
The Board of Directors of GBH (“Board”) had on 29 September 2014 received a letter from the Vendors expressing their intention to terminate the Proposed RTO Exercise and requesting for the termination of the Proposed RTO Exercise by mutual agreement. The Board considered the request of the Vendors via an emergency Board Meeting today and decided to concur with the request of the Vendors and agreed for the proposed mutual termination.

Reference is made to the Company’s announcements dated 2 July 2014, 7 July 2014, 16 July 2014 and 11 August 2014 in relation to the Acquisition and the Proposed Provision of Financial Assistance (“Announcements”). All abbreviations and definitions used herein shall have the same meanings as the words and expressions defined in the Announcements, except where the context otherwise requires or where otherwise defined herein. On 30 September 2014, the Board of Directors of GBH (“Board”) announced that the parties had, on the same date, mutually agreed to terminate the Memorandum of Agreement dated 2 July 2014 (“MOA”) for the acquisition by the Company of the entire issued and paid-up share capital of Dynac Sdn Bhd. Pursuant to the termination of the MOA, the Board wishes to announce that ETSB intends to exercise its put option right under the terms of SSA dated 2 July 2014. Such put option is exercisable by ETSB at any time within a period of 60 days if the Definitive Agreement has not been executed by the parties in accordance with the terms of the MOA and within the period for execution prescribed in the MOA. Accordingly, the Board has today resolved to withdraw ordinary resolution 2 in respect of the Proposed Provision of Financial Assistance as set out in the Notice of Extraordinary General Meeting (“EGM”) dated 15 September 2014 from being tabled at the EGM to be convened on 30 September 2014. This announcement is dated 30 September 2014.
