S P Setia Berhad (19698-X) (“S P Setia”) wishes to announce that the following dormant subsidiaries incorporated in British Virgin Islands (“BVI”) were struck off from the BVI Government Register with effect from 1 May 2014:- (i) Setia D-Nine Limited (“SD-Nine”); and (ii) Setia Saigon East Limited (“SSE”). The Notifications for the Striking Off of SD-Nine and SSE issued by Offshore Inc. Limited were received by S P Setia on 30 May 2014 respectively. SD-Nine and SSE were incorporated on 20 November 2007 under BVI Business Companies Act, 2004 as limited companies. Both companies have an authorised share capital of USD50,000.00 divided into 50,000 ordinary shares of USD1.00 each, of which 50,000 ordinary shares of USD10.00 each have been issued and fully paid up accordingly. Both SD-Nine and SSE have been dormant and the Management of S P Setia has no intention to carry on business or operations in the future. Hence, S P Setia Group made a decision to facilitate such striking off as opposed to the formal and time consuming process of voluntary liquidation to terminate the existence of SD-Nine and SSE. The striking off of SD-Nine and SSE will not have any material effect on the earnings and net assets of S P Setia Group for the financial year ending 31 October 2014. None of the Directors or substantial shareholders of S P Setia or persons connected to them have any interest, direct or indirect, in the said striking off.
