On behalf of the Company, KIBB is pleased to announce that the Company has fixed the issue price at RM1.53 per Placement Share for the placement of up to 108,419,998 Placement Shares, representing up to ten percent (10%) of the existing issued and paid-up share capital of the Company (excluding treasury shares). The issue price of the Placement Shares of RM1.53 per Placement Share represents a discount of approximately 2.49% over the five (5)-day volume weighted average market price of Perisai Shares up to and including 1 April 2014 of RM1.5690 per Perisai Share. For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the Announcements unless otherwise defined herein. As set out in the announcement dated 1 April 2014 in respect of the Proposed Placement, the Proposed Warrants Issue will be implemented after the Proposed Placement and hence, the Subscribing Directors and placee(s) will be entitled to the Warrants. Pursuant thereto, KIBB on behalf of the Board, wishes to announce that the Board having further deliberated on the Proposed Warrants Issue is proposing to increase the issue size of the Proposed Warrants Issue to up to 65,843,380, revised from the initial issue size of 50,648,750 Warrants. Following up on the announcement on 18th March 2014 in relation to Kuala Lumpur High Court Civil Suit No. 22NCC-90-03/2014 (“the Civil Suit”), the Board of Directors of the Company wishes to announce that the Company and Daya Offshore Construction Sdn Bhd (“DOC”), a wholly owned subsidiary of the Company, had been notified by their lawyers on 02.04.2014 that the said lawyers had been served on 01.04.2014 by the Messrs Trevor Partnership, the Plaintiff’s solicitors, with a Notice of Application and Affidavit in Support dated 31.03.2014 for interlocutory injunction (“Interlocutory Injunction Application”). In the Interlocutory Injunction Application, the Plaintiff is seeking for inter alia the following reliefs:- (a) an injunction to restrain the Company and/or DOC from excluding the Plaintiff as a director of DOC and/or from curtailing, impeding and/or otherwise preventing the Plaintiff’s exercise of all his rights as a director of DOC and pursuant to the Shareholders Agreement dated 30.04.2013; (b) an injunction to restrain the Company from selling, transferring and/or otherwise dealing in any manner whatsoever the 5 million ordinary shares in DOC that is currently held and registered in the name of the Company; (c) an injunction to restrain the Company from requisitioning, calling, convening and/or otherwise holding any Board and/or Shareholder meeting of DOC without the Plaintiff’s participation and/or consent; (d) an injunction to retrain DOC from making, executing and/or otherwise implementing any decisions of DOC without the approval of the Plaintiff or court; (e) alternatively, that interim Receivers & Managers be hereby appointed to enter, and take control and have full management control of DOC. The hearing date stated in the Interlocutory Injunction Application is Thursday, 03.04.2014. The Company and DOC have instructed their lawyers to resist the Interlocutory Injunction Application and the said lawyers will be seeking for reasonable time to reply to the Interlocutory Injunction Application that was only served on 01.04.2014.
