Pursuant to para 9.19 (23) of the Main Market Listing Requirements, the Board of Directors of Shin Yang Shipping Corporation Berhad (“SYSCORP”) is pleased to announce that its wholly-owned subsidiary, Shin Yang Shipping Sdn Bhd had on 24 September 2013 incorporated a 99.50% owned subsidiary company in Indonesia under the Law of the Republic of Indonesia, namely PT. Shinline (“PT. SL”). The authorized and issued and paid-up share capital of PT.SL is USD 500,000.00 divided into 500,000 ordinary shares of USD 1.00 each of which 500,000 ordinary shares of USD 1.00 each have been issued. The principal activity of PT. SL is investment holding and also to provide management consultancy services and as of the date of this announcement, is a dormant company. The said shares subscription will not have any material effect on SYSCORP’s share capital, substantial shareholders’ shareholdings, earnings and net assets for the financial year ending 30 June 2014. The consideration for the shares subscription was funded by internally generated funds.
None of the directors and/or substantial shareholders of SYSCORP Group and/or persons connected with them, except Tan Sri Datuk Ling Chiong Ho and Mr. Ling Chiong Sing, who are the directors and substantial shareholders of SYSCORP owns 0.25% (1,250 shares) each in PT.SL, have any interest, direct or indirect, arising from the above incorporation. The above incorporation is not subjected to the approval of the shareholders and any government authority.
