1. Introduction Abric Berhad ("Abric" or "the Company") wishes to announce that Abric Worldwide Sdn. Bhd. ("AWSB"), a wholly owned subsidiary of Abric, had on 2 October 2013 subscribed 60,000 Ordinary Shares of RM1.00 each, representing 60% equity interest in Abric Encode Sdn Bhd ("Company No. 1063791-T) ("AESB"), a company incorporated in Malaysia, for a total cash consideration of RM60,000 ("the Subscription"). Subsequent to the Subscription, AESB shall become a subsidiary of AWSB, which in turn, a subsidiary of the Company. 2. Information of AESB AESB was incorporated on 26 September 2013 in Malaysia. The authorised share capital of AESB is RM400,000 comprising 400,000 ordinary shares of RM1.00 each while its issued share capital consists of 100,000 ordinary shares of RM1.00 each which have been fully paid. The intended business activity of AESB is in the research and development, manufacturing and marketing of Radio Frequency Identification Device ("RFID") security sealing solutions. 3. Financial Effect of the Subscription The Subscription will not have any significant effect on the earnings or net assets of Abric Group for the financial year ending 31 December 2013. It will not have any effect on the share capital and substantial shareholders' shareholdings of the Company as well. 4. Directors' and Substantial Shareholders' Interests None of the Directors and/or major shareholders of the Company or persons connected with them have any interest, direct or indirect, in the Subscription. | |
