| The 111,263,033 Additional Warrants are issued to the entitled shareholders of Asia Media Group Berhad (“AMEDIA”) pursuant to the renounceable rights issue of up to 752,400,000 new ordinary shares of RM0.10 each in AMEDIA (“AMEDIA Shares”) (“Rights Shares”) on the basis of one (1) Rights Share for every one (1) existing AMEDIA Share held as at 5.00 p.m. on 27 August 2013 at an issue price of RM0.11 per Rights Share, together with up to 188,100,000 free Additional Warrants on the basis of one (1) Additional Warrant for every four (4) Rights Shares subscribed for (“Rights Issue of Shares with Warrants”). Pursuant to the Rights Issue of Shares with Warrants, the exercise price of the outstanding Warrants 2013/2018 constituted by the deed poll dated 12 December 2012 (“Deed Poll”) was revised from RM0.25 to RM0.22 while an additional 49,958,382 Warrants 2013/2018 will be listed and quoted on 26 September 2013 on the Main Market of Bursa Malaysia Securities Berhad. The Additional Warrants and Adjustment Warrants have been consolidated with the outstanding Warrants 2013/2018 and shall have the same maturity date on 1 January 2018. The said adjustments to the exercise price and the number of outstanding Warrants 2013/2018 took effect on 28 August 2013, being the next market day following the entitlement date for the Rights Issue of Shares with Warrants in accordance with Paragraph 2(v) of Schedule 4 (Memorandum) of the Deed Poll. The notice to the holders of the outstanding Warrants 2013/2018 containing details of the adjustments to the exercise price and number of outstanding Warrants 2013/2018 pursuant to the Rights Issue of Shares with Warrants was despatched to the holders of the outstanding Warrants 2013/2018 on 18 September 2013. Each Warrant 2013/2018 carries the entitlement to subscribe for one (1) new AMEDIA Share at the revised exercise price of RM0.22 and at any time during the exercise period, subject to the adjustments in accordance with the provisions of the Deed Poll constituting the Warrants 2013/2018 and the supplemental deed poll dated 13 August 2013 to the Deed Poll constituting the Additional Warrants.
