PROPOSED AMENDMENTS TO THE COMPANY ARTICLES OF ASSOCIATION (“PROPOSED AMENDMENTS ARTICLES”) (COLLECTIVELY REFERRED TO AS “PROPOSALS”) |
The Board of Directors of Berjaya Corporation Berhad (“BCorporation” or the “Company”) wishes to announce the following:- A. PROPOSED MANDATE Pursuant to paragraph 10.09 of the Bursa Malaysia Securities Berhad’s Main Market Listing Requirements (“Listing Requirements”), the Company intends to seek the approval of its shareholders for a Proposed Mandate at the forthcoming Annual General Meeting (“AGM”) of the Company. At the last AGM held on 30 October 2012, the shareholders of the Company had granted a mandate for the Company and its subsidiary companies to enter into recurrent related party transactions. In accordance with paragraph 3.1.4 of Practice Note 12 of the Listing Requirements, the said mandate will lapse at the conclusion of the forthcoming AGM. Pursuant thereto, the Proposed Mandate being sought from shareholders at the forthcoming AGM will also include the renewal of the shareholders’ mandate obtained at the last AGM held on 30 October 2012. B. PROPOSED SHARE BUY-BACK BCorporation intends to seek the approval from its shareholders for the Proposed Share Buy-Back of up to maximum of 10% of the issued and paid-up share capital of BCorporation at the forthcoming AGM of the Company. At the last AGM held on 30 October 2012, the shareholders of the Company had granted a mandate for the Company to purchase its own shares. Such mandate will lapse at the conclusion of the forthcoming AGM. C. PROPOSED AMENDMENTS ARTICLES BCorporation intends to seek shareholders’ approval for Proposed Amendments Articles at the forthcoming AGM of the Company. The Proposed Amendments Articles are made to update the Articles of Association to be in line with the recent amendments to the Listing Requirements. A Circular/Statement to Shareholders detailing the Proposals will be despatched to the shareholders of the Company in due course. This Announcement is dated 24 September 2013. | |
