SELECTIVE CAPITAL REDUCTION AND REPAYMENT EXERCISE PURSUANT TO SECTION 64 OF THE COMPANIES ACT, 1965 INVOLVING TRADEWINDS CORPORATION BERHAD ("SCR").

Under the SCR, all the shareholders of TCB other than the Major Shareholders, whose names appear in the Record of Depositors of TCB as at 5.00 p.m. on Tuesday, 27 August 2013 ("Entitlement Date") shall be entitled to receive a cash payment of RM1.10 for each existing TCB Share held. The cash payment is expected to be made within ten (10) days from the Entitlement Date.
TCB will be delisted and removed from the Official List of Bursa Malaysia Securities Berhad ("Bursa Securities") upon successful completion of the SCR.
The trading of TCB Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Wednesday, 21 August 2013, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last day of trading for TCB Shares on the Main Market of Bursa Securities prior to the suspension will be 5.00 p.m. on Tuesday, 20 August 2013. The TCB Shares will no longer be traded on the Official List of Bursa Securities after the trading of TCB Shares is suspended on Wednesday, 21 August 2013. For the avoidance of doubt, the trading of TCB Shares will continue to be suspended from 9.00 a.m. on Wednesday, 21 August 2013 until the removal of TCB from the Official List of Bursa Securities.
The notice to shareholders in relation to the suspension of trading of TCB Shares and the Entitlement Date for the SCR will be despatched to the shareholders of TCB on 13 August 2013.
