The Board of Directors of Formis Resources Berhad ("FRB”) wishes to announce that Formis Development Sdn Bhd, an indirect wholly-owned subsidiary of FRB had on 26 June 2013 incorporated a wholly-owned subsidiary company known as Ohana Business Specialist Sdn Bhd (“Ohana”). The authorised share capital of Ohana is RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each of which RM2.00 comprising 2 ordinary shares of RM1.00 each has been issued and fully paid-up. Ohana is currently dormant and the intended principal activities are to carry on the business of internet service provider, telecommunication network and other related services both locally and internationally. The incorporation will not have any material effect on the net assets per share, gearing, share capital and the substantial shareholders’ shareholdings of FRB for the financial year ending 31 March 2014. None of the Directors and substantial shareholders of FRB and/or persons connected with them, has any interest, direct or indirect, in the incorporation. This announcement is dated 28 June 2013.
