The Board of Directors of the Company wishes to announce that its wholly-owned subsidiary, Comfort Rubber Gloves Industries Sdn Bhd (“CRG”) has on 9 November 2012 acquired 50% of the issued and paid up share capital of Hexavin Sdn.Bhd. (formerly known as Vision Enigma Sdn Bhd) ("Hexavin") comprising 1 ordinary share of RM1.00 each from (Name of the Vendor) for a total consideration of RM1/- ("the Acquisition") . Hexavin was incorporated in Malaysia as a private limited company on 24 October 2012 and is presently dormant. Its authorised and paid up share capital are RM100,000.00 divided into 100, 000 ordinary shares of RM1.00 each and RM 2.00 divided into 2 ordinary shares of RM1.00 each respectively. The acquisition of Hexavin is not expected to have any material effect on the earnings per share, net assets or share capital of the Company. None of the Directors or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the aforesaid Acquisition at the material time. Subsequent to the Acquisition, the previous Directors of the Company, Tan Keng Beng and Seah Bee Hoon were appointed to the board of Hexavin but both of them resigned after they ceased to be Directors of the Company. The present Directors of the Company, Cheang Phoy Ken and Sean Kar Seng Cheang, were then appointed to the board of Hexavin on 12 January 2013. As a result of such appointment, the board of IRCB is deemed to have control over the management of Hexavin. Therefore, Hexavin is deemed to be a subsidiary of CRG and hence a sub-subsidiary of IRCB.
