The Board of Directors of TAE wishes to announce that the Company had on 24 June 2013 entered into a Commercial Arrangement with TA Global Berhad (828855-P) (“TAG”), its subsidiary company to assign all risks, obligations, liabilities, benefits and rewards relating to a revolving credit facility of Ringgit Malaysia One Hundred and Thirty Million (RM130,000,000.00) from Arab Malaysian Merchant Bank Berhad (23742-V) (“Arab”) which was secured against the property known as Menara TA One on the land Lot 1261 Section 57 Geran 39187, Bandar Kuala Lumpur (hereinafter referred to as “Menara TA One”) owned by Menara TA Sdn Bhd, a wholly-owned subsidiary of TAG (hereinafter referred to as the “Facility”).

The main objective of this Commercial Arrangement is to ensure that all risks, obligations, liabilities, benefits and rewards of the Facility (which was originally given by Arab in 1999 to TAE when Menara TA Sdn Bhd was the wholly-owned subsidiary of TAE before the reorganization of TAE in September 2009) is now contained and retained at TAG level without flowing into TAE or affecting TAE in any manner whatsoever.

The sequence of events leading the Commercial Arrangement are as follows:-

1. On 3 February 1999, TAE entered into a facility agreement with Arab as original lender and agent for the Facility. In 1999, the Facility was secured by a first fixed charge by ERF Properties Sdn Bhd (166951-V) (hereinafter referred to as “ERF”), a wholly owned subsidiary of TAE which was the owner of Menara TA One.

2. The first fixed charge under ERF was discharged and the Facility is subsequently secured by a second fixed charge over Menara TA One which is now owned by Menara TA Sdn Bhd.

3. In September 2009, pursuant to the reorganization of TAE comprising of the disposals of certain property assets by TAE to TAG and the proposed listing of TAG on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Malaysia”) Menara TA Sdn Bhd became a wholly-owned subsidiary of TAG.

4. Pursuant to the offer for sale of TAG by TAE and the listing of TAG on Bursa Malaysia on 23 November 2009, TAG ceased to be a wholly-owned subsidiary of TAE. As a result, the Facility which was originally secured against the property of a wholly-owned subsidiary of TAE now becomes secured against the property which is not wholly owned by TAE.

5. In view that TAG is not a wholly-owned subsidiary of TAE and given that the Facility is secured against a property of TAG, the Commercial Arrangement is undertaken by TAE and TAG to ensure that all risks, obligations, liabilities, benefits and rewards of the Facility are transferred to TAG since the collateral for the Facility was provided by a wholly-owned subsidiary of TAG.

6. For a valuable consideration of RM10.00 which TAE has acknowledged receipt, TAE has agreed to assign to TAG all the rights, title and interests in the Facility and the Facility Agreement to TAG whereby TAG will derive all the benefits of the Facility and assume all the obligations contained therein and hence TAG will become the principal debtor in respect of the Facility. TAG has agreed to assume all the benefits and assume all the obligations in the Facility and the Facility Agreement from the date of this Commercial Arrangement.

The Commercial Arrangement has no effect on the issued and paid-up share capital or substantial shareholders’ shareholdings of TAE.

None of the Directors and/or major shareholders of the TAE Group as well as persons connected with them have any interest, direct and/or indirect, in the Commercial Arrangement.

The Commercial Arrangement is available for inspection at the registered office of TAE at 34th Floor, Menara TA One, 22 Jalan P. Ramlee, 50250 Kuala Lumpur, Malaysia, during normal business hours on Mondays to Fridays (except for public holidays) for a period of three (3) months from the date of this announcement.
