The Board of Directors of FITTERS wishes to announce that FITTERS had, on 29 April 2013, entered into a memorandum of understanding (“MOU”) with Deluge Fire Protection (SEA) Pte Ltd ("Deluge”) to facilitate the merger of their fire protection businesses and the listing of the merged entity on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Proposal”). The salient terms of the MOU are as follows: (i) Incorporation of a special purpose vehicle in Malaysia ("Newco") As soon as practicable after the execution of the MOU, the parties shall incorporate the Newco upon such terms and conditions to be mutually agreed upon by the parties. The parties shall in good faith negotiate and agree (as soon as practicable after the execution of the MOU) on the valuation methodology to be adopted for the acquisition by the Newco of the respective fire protection businesses of the parties and when such agreed valuation is obtained, the Newco shall acquire the said businesses and issue the relevant number of consideration shares in Newco to the parties as settlement. The Proposal is conditional upon the approval of the Securities Commission of Malaysia, Bursa Securities, and if required, the shareholders of the parties and any other relevant public authority or parties. The parties shall cause and procure the Newco to be listed on the Main Market of Bursa Securities within 12 months from the date of the definitive written agreement to be entered into between the parties (which will set out the terms and conditions of the Proposal) (“Definitive Agreement”). The term or duration of the MOU shall commence on the date of the MOU and terminate on the earlier of: (a) six (6) months from the date of the MOU (“Expiry Date”); or (b) the execution of the Definitive Agreement; or (c) upon the mutual agreement of the parties. Deluge is a private limited company incorporated in Singapore which is involved in the fire protection design and engineering, supply and construction in the fire protection industry. A detailed announcement will be made once the Definitive Agreement for the Proposal has been signed. This announcement is dated 29 April 2013. | |
