MAS - MATERIAL LITIGATION

- New Zealand Commerce Commission ("NZCC") Air Freight Litigation Settlement

On 22 April 2013, the High Court of New Zealand made orders consistent with an agreement between MAS, MASkargo and the New Zealand Commerce Commission (the “NZCC”) to settle the Air Freight litigation. The settlement ends the NZCC’s claims against MAS in relation to the alleged price fixing of surcharges relating to certain air freight services. MAS was served with a Statement of Claim by the NZCC on 15 December 2008, as announced to Bursa Malaysia on the same date.

Following the settlement, MASkargo was added as a party to the proceedings and admits (for the purpose of the proceedings only) that it reached understandings with certain airlines regarding: from April 2002 to October 2005, the level of fuel surcharges to be applied in relation to the supply of air freight services from Indonesia to New Zealand; from October 2000 to January 2004, the level of fuel surcharges to be applied in relation to the supply of air freight services from Switzerland to New Zealand; from October 2001 until October 2005, the level of security surcharge to be applied in relation to the supply of air freight services from Indonesia to New Zealand; and from October 2001 until January 2004, the level of security surcharge to be applied in relation to the supply of air freight services from Switzerland to New Zealand. The Court has ordered that MASkargo pays a penalty of NZ$2.6 million payable in four instalments over 18 months and to contribute NZ$259,079.18 to the NZCC’s court costs, payable within 14 days. MASkargo must also contribute NZ$400,000 to the NZCC’s investigation costs, payable in four instalments over 18 months. This represents a settlement of approximately RM8,356,279.02 [applying the exchange rate of NZ$1=RM2.564] in total, with payment guaranteed by MAS.

This settlement is approved by the High Court at the same time as settlements by the Commission with Cathay Pacific and Thai Airways and follows previous settlements by British Airways, Cargolux, Qantas, Japan Airlines, Korean Air Lines, Emirates and Singapore Airlines Cargo. Air New Zealand continues to defend the proceedings. The settlement brings to an end the NZCC litigation against MAS and MASkargo, keeping legal costs to a minimum and allowing MAS to focus its full attention on further strengthening its business.

As the High Court judgment notes, MAS and its group companies are committed to complying with all applicable laws, including competition laws, in their countries of operation. Since the time of the events relating to the admissions in the Air Freight Litigation, MAS and MASkargo have revised their competition compliance policies and training, to prevent any conduct that might be alleged to be in breach of any competition laws, further supporting a culture of compliance.
