| The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the Abridged Prospectus issued by Toyo Ink Group Berhad ("TIGB") dated 29 March 2013. The Warrants are issued pursuant to the renounceable rights issue of 42,800,000 new ordinary shares of RM1.00 each in TIGB ("Rights Share(s)") on the basis of one (1) Rights Share for every one (1) existing TIGB Shares held together with one (1) Warrant for every one (1) Rights Share subscribed for at 5.00 p.m. on 16 January 2013. Each Warrant carries the entitlement to subscribe for one (1) new TIGB Share at the exercise price of RM1.50 and at any time during the exercise period as indicated above ("Exercise Period"), subject to the adjustments in accordance with the provisions of the deed poll dated 3 January 2013, constituting the Warrants. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid for any purpose. This announcement is dated 29 April 2013. |
