| Description | AMTEL HOLDINGS BERHAD (“AHB”) - CHANGE OF GROUP STRUCTURE |
The Board of Directors of AHB wishes to announce the following:- 1) AHB has disposed of its entire 40% equity interest in Amtel Networks Sdn Bhd (“ANSB”) comprising 200,000 ordinary shares of RM1.00 each to Amtel Reources Sdn Bhd (“ARSB”) for a total cash consideration of RM1.00 only (“Reorganisation”). ARSB is a wholly-owned subsidiary of AHB. ANSB and ARSB are both involved in installation, jointing and testing of utilities, telecommunications and fibre optic cables and associated civil works. The Reorganisation will house ANSB under ARSB as ANSB’s business is similar to that of ARSB. 2) Concurrent to the Reorganisation, ARSB acquired additional 5% equity interest in ANSB comprising 25,000 ordinary shares of RM1.00 each (“Acquisition Shares”) from Dato’ Wan Mohamad Saleh Bin Wan Mahmood for a total cash consideration of RM1.00 only (“Acquisition”). Consequently, ARSB’s equity interest in ANSB increased from 40% to 45%. The Acquisition Shares were acquired free from all liens, pledges, charges, mortgages and any other encumbrances whatsoever with all rights attached thereto including any dividend, bonus or rights issue that may be declared as from the date of completion of the Acquisition. The Reorganisation and Acquisition will not have any material effect on the consolidated earnings, net assets and gearing of the AHB Group for the financial year ending 30 November 2013.
