We refer to the Company’s previous announcements in relation to the Offer with the latest dated 21 March 2013. The Company has today received the attached press notice from Maybank IB, on behalf of the Joint Offerors, informing that the Joint Offerors have received valid acceptances of the Offer in respect of 86,887,600 TWP Shares, representing 16.42% of TWP’s issued and paid-up share capital, resulting in the Joint Offerors and the PAC collectively holding 476,876,840 TWP Shares, representing 90.12% of TWP’s issued and paid-up share capital. The level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on Wednesday, 27 March 2013 is set out in the attached press notice. Pursuant to the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, as the Joint Offerors and the PAC do not intend to maintain the listing status of TWP if they receive acceptances under the Offer resulting in them holding in aggregate 90% or more of the TWP Shares, the trading of TWP Shares shall be suspended upon the expiry of five (5) market days from the date of this Announcement. As stated in the Offer Document dated 21 March 2013, the Offer will remain open for acceptances until 5.00 p.m. (Malaysian time) on Thursday, 11 April 2013 (“Closing Date”), unless otherwise extended by the Joint Offerors.
