Description	AGREEMENT BY JASA MERIN (MALAYSIA) SDN BHD FOR THE CONSTRUCTION OF THREE (3) UNITS OF ANCHOR HANDLING TUG SUPPLY VESSELS
1. INTRODUCTION The Board of Directors (“the Board”) of SILK Holdings Bhd (“SHB”) is pleased to announce that its 70%-owned subsidiary, Jasa Merin (Malaysia) Sdn Bhd, has on 21 March 2013, awarded shipbuilding contracts to Muhibbah Marine Engineering Sdn Bhd (“MME”), for the construction of two (2) units of 62-metre Anchor Handling Tug Supply (“AHTS”) vessels and one (1) unit of 70-metre AHTS vessel, for a total consideration of approximately RM 216.49 million. (“the Contracts”). The vessels are expected to be delivered in stages from the end of the current calendar year until early 2014. 2. RATIONALE FOR THE CONTRACTS The agreement for the new vessels is in line with the Group’s on-going fleet-renewal and expansion initiative. 3. FUNDING FOR THE CONTRACTS The purchase consideration for the vessels of approximately RM 216.49 million will be funded through a combination of internal funds and borrowings. Details of this will be announced separately in due course. 4. FINANCIAL IMPACT OF THE CONTRACTS The entering into the Contracts is not expected to have any material effect on the net assets, earnings per share and has no effect on the share capital and Major Shareholders’ shareholding of the Group for the financial year ending 31 July 2013. The entering into the Contracts will likely result in an increase in gearing for the financial year ending 31 July 2013 as part of the purchase consideration will be paid for by borrowings. It is anticipated that the vessels under the Contracts will contribute positively to Group’s future earnings once deployed. 5. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS None of the Directors or major shareholders or persons connected to the Directors or major shareholders has any direct or indirect interest in the Contracts. 6. DIRECTORS’ STATEMENT The Board of SHB is of the opinion the Contracts are in the best interest of the Group. This announcement is dated 21 March 2013.
