Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Tradewinds Plantation Berhad (TPB) wishes to announce that TPB had, on 16 January 2013 acquired the remaining 30% equity interest in NIASB from Perbadanan Kemajuan Negeri Kedah ("PKNK") at a purchase consideration of RM24.0 million. NIASB involves in property development and rubber plantation. The issued and paid-up capital of NIASB is RM1,000,000 comprising 1,000,000 shares with nominal value of RM1.00 each. With the said acquisition, NIASB becomes a wholly-owned subsidiary of TPB. The acquisition of NIASB is not expected to have a material effect on the earnings or net assets of TPB Group for the year ending 31 December 2013. None of the directors or substantial shareholders of TPB or persons connected to them has any interest, direct or indirect, in the said acquisition. This announcement is dated 16 January 2013.
