CWHB has been notified by BHSB of the following proposed acquisitions by BHSB of the following interests in CWHB Shares:- (i) Proposed acquisition of 77,207,674 CWHB Shares from Tsai Yung Chuan (“TYC”), representing 28.33% equity interest in CWHB; (ii) Proposed acquisition of 42,990,872 CWHB Shares from Tsai Yung Yu (“TYY”), representing 15.77% equity interest in CWHB; (iii) Proposed acquisition of 11,408,616 CWHB Shares from Tsai Chang Hsiu-Hsiang (“TCHH”), representing 4.19% equity interest in CWHB; (iv) Proposed acquisition of 124,400 CWHB Shares from Tsai Cheng Hsun (“TCHS”), representing 0.04% equity interest in CWHB; and (v) Proposed acquisition of 50,000 CWHB Shares from Tsai Chia Ling (“TCL”), representing 0.02% equity interest in CWHB (collectively referred to as the “Proposed Acquisitions by BHSB”). BHSB has notified CWHB that BHSB presently does not hold any CWHB Shares and BHSB is a company in which TYC holds 58.58% equity interest whilst his spouse, TCHH and children, TCHS and TCL hold 8.67%, 0.10% and 0.04% respective equity interests (collectively referred to as “TYC Family”). Additionally, TYC’s brother, TYY holds 32.61% equity interest in BHSB. BHSB has also notified CWHB that the directors of BHSB are presently TYC, TCHH and TCL. CWHB has been informed by BHSB that as at 31 December 2012, the TYC Family, TYY and their party acting in concert (“PAIC”), namely Amal Pintas Sdn Bhd collectively hold approximately 48.39% direct equity interest in CWHB. BHSB has notified CWHB that upon completion of the Proposed Acquisitions by BHSB, BHSB will increases its interest in CWHB from zero to 48.35% equity interest in CWHB, and pursuant to Part III, Section 9(1) of the Code, BHSB would be required to extend a mandatory general offer for the remaining CWHB Shares not already held by BHSB upon the completion of the Proposed Acquisitions by BHSB. CWHB has been informed by BHSB that as the Proposed Acquisitions by BHSB would be acquisitions of CWHB Shares from parties acting in concert with BHSB and the collective shareholdings of the PAIC would remain the same at 48.39% equity interest in CWHB before and after the Proposed Acquisitions by BHSB, the Securities Commission (“SC”) following an application by BHSB, granted an exemption to BHSB under Practice Note 9, Paragraph 21.1(a) of the Code from the obligation to undertake a mandatory offer for the remaining CWHB Shares not held by BHSB after the Proposed Acquisitions by BHSB (“Exemption”). The Exemption granted by SC vide its letter of approval dated on 22 January 2013 is subject to, inter-alia, the condition that the SC to be informed upon completion of the Proposed Acquisitions by BHSB. BHSB has notified CWHB that barring any unforeseen circumstances, the Proposed Acquisitions by BHSB are expected to be completed within six (6) months from the date of this announcement.
