| The SCR involves Yeo Hiap Seng (Malaysia) Berhad (“YHSM”) undertaking a selective capital reduction and repayment exercise pursuant to Section 64 of the Companies Act, 1965 involving the reduction of enlarged issued and paid-up share capital of YHSM to RM1,000,000 comprising 1,000,000 ordinary shares of RM1.00 each in YHSM (“YHSM Shares”) by way of cancellation of all YHSM Shares which are in issue, save for the 1,000,000 YHSM Shares held by YHS (Singapore) Pte Ltd (“Non-Entitled Shareholder”). Under the SCR, all the shareholders of YHSM other than the Non-Entitled Shareholder (“Entitled Shareholders”), whose names appear on YHSM’s Register of Members and/or Record of Depositors as at the entitlement date shall be entitled to receive a capital repayment of RM3.60 in cash for each existing YHSM Share held before the bonus issue. The Non-Entitled Shareholder shall waive their entitlements to the repayment of capital pursuant to the SCR. The capital repayment will be made on 11 January 2013. YHSM will be de-listed and removed from the Official List of Bursa Malaysia Securities Berhad (“Bursa Securities”) after the completion of the SCR. The trading of YHSM Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on 31 December 2012, being three (3) clear market days prior to the entitlement date. Accordingly, the last day of trading for YHSM Shares on the Main Market of Bursa Securities prior to the suspension shall be 5.00 p.m. on 28 December 2012. The YHSM Shares will no longer be traded on the Official List of Bursa Securities after the trading of YHSM Shares is suspended on 31 December 2012. For the avoidance of doubt, the trading of YHSM Shares will continue to be suspended with effect from 9.00 a.m. on 31 December 2012 until the removal of YHSM from the Official List of Bursa Securities. The notice to shareholders in relation to the suspension of trading of YHSM Shares and the entitlement date for the SCR will be despatched to YHSM’s shareholders on 21 December 2012.
