The Board of Directors of Berjaya Assets Berhad (“the Company”) wishes to announce that pursuant to paragraph 10.09 of the Bursa Malaysia Securities Berhad’s Main Market Listing Requirements (“Listing Requirements”), the Company intends to seek the approval of its shareholders for a proposed renewal of and new shareholders’ mandate for recurrent related party transactions of a revenue or trading nature (“Proposed Mandate”) at the forthcoming Annual General Meeting (“AGM”) of the Company. At the last AGM held on 22 November 2011, the shareholders of the Company had granted a mandate for the Company and its subsidiary companies to enter into recurrent related party transactions. In accordance with paragraph 3.1.4 of Practice Note 12 of the Listing Requirements, the said mandate will lapse at the conclusion of the forthcoming AGM. Pursuant thereto, the Proposed Mandate being sought from the shareholders at the forthcoming AGM will also include the renewal of the shareholders’ mandate obtained at the last AGM held on 22 November 2011.
