The Board of Directors of Ta Ann Holdings Berhad (‘Ta Ann’ or ‘the Company’) is pleased to announce that a wholly owned subsidiary of the Company, Ta Ann Plantation Sdn Bhd (‘TAP’) has on the 29th day of August, 2012 acquired 2 ordinary shares of RM1.00 each, at a cash consideration of RM2.00 in a newly incorporated company, Ironhead Sdn Bhd (‘Ironhead’), representing 100% of the total issued and paid-up capital of Ironhead (‘Acquisition’). Ironhead has an authorised capital of RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each. The establishment of Ironhead is to undertake the mechanical and electrical maintenance works of crude palm oil (‘CPO’) mills of Ta Ann Group. The Acquisition has no effect on the share capital and substantial shareholders’ shareholding of Ta Ann, and is not expected to have any significant effect on the earnings per share and net assets per share. The Acquisition does not require the approval of any other government authorities and shareholders. None of Ta Ann’s Directors, major shareholders and persons connected with the Directors or major shareholders has any interest, direct or indirect, in the Acquisition. The Directors are of the opinion that the Acquisition is in the best interest of the Company and the Group. This announcement is dated 29th day of August, 2012. | |
