Ingenuity Solutions Berhad ("ISB" or "the Company") wishes to announce that�Bursa Malaysia Securities Berhad had, vide their letter dated 28th August 2012, requested for the following information regarding Ninetology to be obtained and announced by today: (i) Details of the corporate exercise that Ninetology intends to propose to ISB. (ii) Background information of Ninetology such as names of the directors, names of the major shareholders and their respective shareholdings, principal activities, latest financial information (including revenue and profit after tax). The Company had on 29th August 2012 written to Ninetology to request for the above information, and is still awaiting for a response from Ninetology. Meanwhile, the Company Secretary of ISB has today�received an offer letter from Ninetology, offering to purchase all and not partial of the shares held by Chin Boon Long, Firstwide Success Sdn. Bhd., Landasan Simfoni Sdn. Bhd. and Titanium Hallmark Sdn. Bhd. aggregate to 214,297,656 ordinary shares of RM0.10 each in ISB, representing 39.44% of the total equity interest of ISB, at an offer price of RM0.55 per share. This offer stands for 14 days from today. The offer will only be executed on the premise that all and not one or some of the abovenamed persons accepts the offer unconditionally. The Company�Secretary of ISB has extended the said offer letter to all the abovementioned parties concern. The Company�will make the necessary announcement on any further development in relation to the above. In addition, the Company�wishes to highlight that�the information on Ninetology as disclosed in the announcement dated 15th August 2102 was based solely on information provided from Ninetology, and there has been no due diligence done on the accuracy or veracity of this information. This announcement is dated 29th August 2012. | |
