Description	FOCUS DYNAMICS TECHNOLOGIES BERHAD (“FDTB”) - INCORPORATION OF A NEW SUBSIDIARY
FDTB wishes to announce that a subsidiary company, Marquee International Holding Sdn. Bhd. ("MIHSB") was incorporated in Malaysia under the Companies Act, 1965 on 28 August, 2012. MIHSB has an authorised share capital of RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each, of which RM2.00 comprising 2 ordinary shares of RM1.00 each have been issued and fully paid-up. The principal activities of MIHSB are investment holdings and general trading. The incorporation of MIHSB does not have any effect on the issued and paid-up share capital and substantial shareholders’ shareholdings structure of FDTB as well as the earnings and net assets of FDTB and its subsidiary companies (“FDTB Group”) for the financial year ending 31 December 2012. As at the date of incorporation of MIHSB, FDTB and Mr. Tay Ben Seng, Benson each held one (1) ordinary share of RM1.00 each (“MIHSB Share”) in MIHSB. Mr. Tay Ben Seng, Benson, the Director of MIHSB was authorised by the Board of Directors of FDTB ("the Board") to subscribe for one (1) MIHSB Share on behalf of FDTB pursuant to the Companies Act, 1965. The said share is currently held in trust by Mr. Tay Ben Seng, Benson and will be transferred to FDTB upon the completion of the incorporation of MIHSB. Thereafter, MIHSB will become a wholly-owned subsidiary company of FDTB. Save as disclosed above, none of the Directors, substantial shareholders and persons connected with the Directors or substantial shareholders of FDTB has any interest, direct or indirect, in the incorporation of MIHSB. This announcement is dated 28 August, 2012.
