("DOCI") REPRESENTING 24.9% OF THE ISSUED AND PAID-UP SHARE CAPITAL OF DSSB AND DOCI RESPECTIVELY TO RANCAK NIKMAT SDN. BHD. ("THE PURCHASER") FOR A TOTAL CASH CONSIDERATION OF RM19,000,000 AND RM11,500,000 RESPECTIVELY ("PROPOSED DISPOSAL")
Query Letter content: We refer to your Company's announcement dated 25 May 2012 in respect of the
aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following
additional information for public release:-
Justification(s) for the disposal consideration of RM19 million for 24.9% in
DSSB including the premium of RM12,260,830 over the unaudited net assets of
DSSB as at 30 April 2012.
Justification(s) for the disposal consideration of RM11.5 million for 24.9% in
DOCI including the premium of RM5,957,398 over the unaudited net assets of DOCI
as at 30 April 2012.
If available, the breakdown of the intended utilisation of the proceeds of
RM30.5 million.
To clarify "immediately available funds".
The rationale for the deferred payment of the disposal consideration of 5 years
after the SSA is unconditional.
The right of recourse to DAYA in the event the Purchaser failed to pay the
disposal consideration.
The expected gains or losses to the group arising from the disposal of DSSB and
DOCI respectively.
To elaborate further on the arrangements set out in section 3.13.
To state the impact of the arrangements set out in section 3.13 to the group.
