Contents: The Company wishes to announce that a Notice pursuant to Section 218(1) e and 2(a) of the Companies Act, 1965 dated 21 June 2010 has been served on the Company on 30 June 2010 by the Solicitors acting for Pengurusan Danaharta Nasional Berhad demanding for the payment within twenty-one (21) days thereof the following sum outstanding as at 18 January 2010 together with accrued interest and costs thereon on a final Judgement entered against the Company on 18 January 2010 under Kuala Lumpur High Court Suit No. D2-22-1165-2009 against the Company as follows:-

1. the sum of RM6,886,241-42;
2. further interest accruing on the said amount of RM6,886,241-42 at the rate of 2% per annum together with default interest of at 1% per annum above the Base Lending Rate calculated on monthly rest basis from 1 April 2005 until full realisation; and
3. cost of RM225-00.

The Company wishes to state that the writ of summon for abovementioned suit was never served on the Company at all. Hence, it appears that the judgement was entered in default. In view of this, the Company shall resist the claim and apply to Court to set aside the judgement in default.

The Company is seeking legal advice and will take the appropriate course of action to defend the claim against the Company.

The Company will make the appropriate announcement on the developments of this matter in due course.

FURTHER ANNOUNCEMENT PURSUANT TO PRACTICE NOTE 17/2005 ("PN17/2005") OF THE LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD

Contents: In compliance with paragraph 3.1 of PN17/2005 and our announcement made on 28 June 2010 refers.

As announced on 28 June 2010, the Securities Commission ("SC") had vide its letter dated 24 June 2010 infomed that the application for the Proposed Restructuring Scheme was not approved due to non-compliance with paragraph 4.02 of the SC's Equity Guidelines which stipulates that an applicant must resolve, eliminate or mitigate all conflict of interest situations.

SC has noted that Impian Mawar Sdn Bhd, Impian Gama Sdn Bhd and Sasmax Sdn Bhd have been highly dependent on related party transactions ("RPTs") in the past and are expected to continue to be dependent on RPTs in the future to sustain its business operations through their reliance on contracts from the promoters' private property development companies.

The Board of Directors of Nikko and the Liquidator are currently deliberating on the next course of action on the above matter.

And further to our announcements made on 3 May 2010 and 1 June 2010, the Company has been informed by a substantial shareholder, Nikko Electronic Holdings Sdn Bhd., that it has on 24 May 2010 filed an application in the High Court of Malaysia at Penang for :-

(i) leave to intervene in the Companies Winding Up Petition; and

(ii) that all proceedings in relation to the winding up of the Respondent Company granted by the Court on 28 April 2010 ("The Winding Up Order") be stayed pursuant to Section 243 of the Companies Act 1965 ("the Act") for a period of six (6) months from the date of the Order.

The hearing date of the application which was fixed on 30 June 2010 has been postponed to 6 August 2010.

Further development of the above matter will be announced to Bursa Securities in due course.
