The Conditional Waiver is only in respect of Paragraph 2.1 (a), (g) and (h) of PN17. In the event Sinotop triggers the PN17 criteria due to criteria other than Paragraph 2.1 (a), (g) and (h) of PN17, the Conditional Waiver will not apply; and
The asset injection of Be Top Group Limited and its subsidiary company into Sinotop ("Proposed Asset Injection") as well as the proposed rights issue of up to 307,082,550 new ordinary shares of RM0.20 each in Sinotop ("Rights Shares") at an issue price of RM0.20 per Rights Share ("Proposed Rights Issue") are to be completed by 3 August 2010 or such extended time as may be approved by Bursa Securities.
The Company wishes to reiterate that other than criteria under Paragraph 2.1 (a), (g) and (h) of PN17, Sinotop does not at this juncture trigger other PN17 criteria. Additionally, it is in the advance stages of implementing and completing the Proposed Asset Injection and Proposed Rights Issue.
