This announcement should be read in conjunction with the earlier announcements made on 30 January 2015, 2 March 2015 and the Circular to Shareholders dated 18 May 2015. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the announcement and Circular dated 30 January 2015 and 18 May 2015 respectively.
On behalf of the Board, Kenanga IB wishes to announce that as at the Conditions Precedent Fulfilment Due Date (i.e. 12 June 2015), one of the Conditions Precedent has not been fulfilled and pursuant to the SPA, Prisma Pelangi has issued a written notice to the Vendor after the close of business day on 12 June 2015 to terminate the SPA.
Pursuant to the terms of the SPA, the Vendor shall, within fourteen (14) days from the date of receipt of the termination notice from Prisma Pelangi, refund to Prisma Pelangi the Deposit of RM12,000,000 paid by Prisma Pelangi to the Vendor in exchange for the returning to the Vendor of the Transfer Documents and thereafter all obligations and liabilities of the Parties under the SPA shall cease to have effect and, none of the Parties shall have any claim against the other for costs, damages, compensation or otherwise save for any antecedent breaches.
The termination is not expected to have any material impact on the net asset per share and earnings per share of the Group for the financial year ending 31 March 2016.
