(For consistency purposes, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the announcement dated 9 March 2015 in relation to the Proposals.)

We refer to the Company’s announcements dated 9 March 2015, 10 March 2015 and 24 March 2015 in relation to the Proposals.

On behalf of the Board of Directors of iDimension, Mercury Securities Sdn Bhd (“Mercury Securities”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, vide its letter dated 19 May 2015, approved the following:-

(i)         admission to the  Official List of Bursa Securities and the listing and quotation of 247,462,179 warrants ("Warrants") to be issued pursuant to the Proposed Bonus Issue of Warrants;

(ii)         listing and quotation of up to 247,462,179 new ordinary shares of RM0.10 each in iDimension (“Shares”) to be issued pursuant to the exercise of the Warrants; and

(iii)        listing and quotation of 50,000,000 Shares to be issued pursuant to the Proposed Acquisition.

The abovementioned approval is subject to, amongst others, the following conditions:-

(i)         iDimension and Mercury Securities must fully comply with the relevant provisions under the ACE Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Bonus Issue of Warrants;

(ii)         iDimension and Mercury Securities are to inform Bursa Securities upon the completion of the Proposed Acquisition and Proposed Bonus Issue of Warrants; and

(iii)        iDimension is to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisition and Proposed Bonus Issue of Warrants are completed.
