Unless stated otherwise, the terms used herein shall carry the same meaning as those defined in the earlier announcements in relation to the above Proposals.

Further to the announcement dated 30 December 2014, 2 January 2015 and 30 April 2015 in relation to the Proposals, on behalf of the Board of Directors of MGB, M&A Securities Sdn Bhd (“M&A Securities”) is pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 20 May 2015 (which was received on 21 May 2015), resolved to approve the listing of up to 60,000,000 new MGB Shares to be issued pursuant to the Proposed Acquisition.

The approval by Bursa Securities is subject to the following conditions:

  1. MGB and M&A Securities must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Acquisition;
  2. MGB and M&A Securities to inform Bursa Securities upon the completion of the Proposed Acquisition; and
  3. MGB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisition is completed.
